1. Agreement to Terms

By accessing or using the services provided by CMFTechSolutions ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, then you may not access our services. These Terms apply to all visitors, users, and others who access or use our services.

2. Description of Services

CMFTechSolutions provides Software-as-a-Service (SaaS) solutions designed to help businesses streamline operations, automate workflows, and improve productivity. Our services include, but are not limited to, web-based applications, data processing tools, and related support services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice.

3. User Accounts

To access certain features of our services, you may be required to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and identification
  • Accept all responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Subscription and Payment Terms

Our services may be offered on a subscription basis or as one-time purchases. By subscribing to our services, you agree to:

  • Pay all fees associated with your subscription in advance
  • Authorize automatic renewal of your subscription unless cancelled
  • Accept that subscription fees are non-refundable except as specified in our Refund Policy
  • Understand that prices may change with 30 days' notice for existing subscribers

All fees are exclusive of applicable taxes, which will be added to your invoice. You are responsible for paying all taxes associated with your use of our services.

5. Acceptable Use

You agree not to use our services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit any malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of our services
  • Use our services for any illegal or unauthorized purpose
  • Copy, modify, or create derivative works of our services
  • Reverse engineer, decompile, or disassemble any part of our services
  • Remove any proprietary notices or labels from our services

6. Intellectual Property Rights

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the exclusive property of CMFTechSolutions or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our services for your internal business purposes. This license does not include any right to resell or redistribute our services or access to our services, or any portion thereof.

7. User Content

Our services may allow you to upload, submit, or transmit content ("User Content"). You retain ownership of any intellectual property rights that you hold in your User Content. By submitting User Content, you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and distribute your User Content solely for the purpose of providing and improving our services.

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you have all necessary rights to grant us the license described above and that your User Content does not violate any third-party rights.

8. Data Protection and Privacy

We are committed to protecting your privacy and personal data. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

9. Service Availability

We strive to provide reliable and uninterrupted service, but we do not guarantee that our services will be available at all times. Our services may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We are not liable for any loss or damage resulting from service unavailability.

10. Limitation of Liability

To the maximum extent permitted by law, CMFTechSolutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

Our total liability for any claims arising from or related to our services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless CMFTechSolutions and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your violation of any rights of another party.

12. Termination

We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our services will cease immediately.

You may terminate your account at any time by contacting us or using the account cancellation features in your account settings. Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Malaysia.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of our services after any changes to these Terms constitutes your acceptance of the new terms.
